Confidentiality Agreement

Before we share any detailed information about a property, we require you to review, complete, and accept our confidentiality terms outlined below. We’ve made the process as straightforward as possible, and it should only take a moment.

CONFIDENTIALITY AGREEMENT

Conditions of Application:

In consideration of Ras360 Property Solutions Pty Ltd ABN [Your ABN] trading as Ras360 Property Solutions (“Agent”) providing the undersigned with certain confidential and proprietary information regarding the business identified below, or any other business being offered for sale (“Business”), I/we agree to and acknowledge the following:

  1. Confidentiality Obligation
    I acknowledge that all information furnished to me by the Agent or Seller is strictly confidential. I agree not to disclose any such information to any third party except to secure professional advice from my advisors. Any information obtained shall not be used in a manner detrimental to the Business. The Seller is hereby designated as a third-party beneficiary of this Agreement.
  2. Non-Interference & Non-Circumvention
    I agree not to contact the business owner, employees, suppliers, or customers of the Business, except through the Agent. All correspondence, inquiries, offers to purchase, negotiations, and closing-related matters must be conducted exclusively through the Agent, who is the first party providing such information to me.
  3. Acknowledgment of Agency Relationship
    I understand that the Agent represents the Seller in this transaction. The Agent is not acting on my behalf but has a contractual agreement with the Seller, under which a fee is payable upon the sale or other disposition of the Seller’s Business or Property.
  4. No Circumvention of Agent’s Agreement
    I agree not to interfere with or circumvent the Agent’s contractual relationship with the Seller in any way. While the Agent may assist me in locating a business and provide guidance throughout the purchase process, this does not create an agency relationship between myself and the Agent.
  5. Independent Verification of Information
    I acknowledge that the Agent does not verify the accuracy or completeness of the information provided. I will rely on my own independent due diligence and investigations to determine whether to proceed with the purchase of any Business listed with the Agent.
  6. Limitation of Liability
    I agree to release and hold harmless the Agent, its representatives, and employees from any claims, demands, or damages arising out of inaccuracies or omissions in the information provided to me in relation to any business I may consider purchasing.
  7. Return of Information
    Should I elect not to proceed with the purchase of the Business or any other business disclosed to me by the Agent, I will promptly notify the Agent and return or destroy all confidential information provided.
  8. Acknowledgment of Financial Capability & Intent
    I affirm that I am acting as a principal in this proposed business purchase and not on behalf of any undisclosed third party. Furthermore, I confirm that I have the financial capability to proceed with the purchase of the Business listed below.
  9. Privacy & Personal Information
    I acknowledge that the Agent may collect my personal information in accordance with the Privacy Act 1988 (Cth). The Agent’s Privacy Policy outlines how my personal information will be managed. If I do not provide the necessary personal information, the Agent may be unable to assist me effectively. The Privacy Policy is available at [Insert Privacy Policy Link], or upon request from the Agent. By signing this agreement, I consent to the collection, storage, use, and disclosure of my personal information in accordance with the Privacy Act and the Agent’s Privacy Policy.
